CHICK-FIL-A FREE BREAKFAST NOW PROMOTION OFFICIAL RULES

1. NO PURCHASE NECESSARY TO ENTER OR CLAIM PRIZE. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. VOID WHERE PROHIBITED.

2. DEFINITIONS:

A. “Administrator”: Strottman International, 46 Corporate Park, Irvine, California 92606.

B. “Eligible States”: AL, AR, AZ, CA, CO, DE, FL, GA, IA, IL, IN, KS, KY, LA, MA, MD, MO, MS, NC, NH, NJ, NM, OH, OK, PA, SC, TN, TX, UT, VA, WI, WV, and WY

C. “Promotion”: Chick-fil-A Free Breakfast Now Promotion

D. “Promotion Period”: December 31, 2007 at 7:30:00 PM Eastern Time through January 2, 2008 at 12:00:01 AM Eastern Time, or when 150,000 eligible registrations have been received, whichever occurs first. Sponsor or Administrator’s designated official clock governs the Promotion.

E. “Promotion Website”: <www.freebreakfastnow.com>

“Sponsor”: Chick-fil-A, Inc., 5200 Buffington Road, Atlanta, Georgia 30349

3. HOW TO REGISTER: During the Promotion Period, visit the Promotion Website and register as directed. Limit one registration per person, per mailing address. To be eligible, registrations must be received by January 2, 2008 at 12:00:01 AM Eastern Time. All registrations become the property of Sponsor and will in no event be acknowledged or returned to any participant or registrant, and no correspondence thereafter shall be entered into between Sponsor and participant or registrant.

4. ELIGIBILITY: Open to legal residents of one of the Eligible States who: (a) had internet access as of the first date of the Promotion, and (b) who are at least 18 years old at the time of registration. The Promotion is intended for participation only in the Eligible States. Please do not register, attempt to register or proceed in the Promotion Website if you are not a resident of one of the Eligible States at the time of registration. Employees, officers, and directors of Sponsor, Administrator, their respective parents, affiliated and subsidiary companies, and their affiliates (collectively, the “Promotion Parties”), and their promotional partners, advertising and promotional agencies, printers and suppliers of Promotion materials, owners/operators, web masters, and web and/or online promotion developers and persons engaged in the development of promotional materials, judging or administration organizations, or auditing or legal firms, and members of any of the above’s immediate family (parents, children, step-parents, step-children, siblings, step-siblings, or spouses) or household members (whether or not related) are not eligible to participate in the Promotion. Incomplete, mechanically reproduced, automated, and/or duplicate registrations and registrations made using third-party software or a third-party website are not permitted and will be deemed void. In the event of a dispute, all e-mail shall be deemed to have been submitted by the owner of the e-mail account from which the e-mail was sent. For these purposes, an e-mail account holder shall mean the natural person assigned to such e-mail account by the Internet access provider, online service provider, or other organization responsible for assigning e-mail addresses for the domain associated with such e-mail account.

5. PRIZES: The first 150,000 eligible registrants who submit a timely and valid registration during the Promotion Period will be sent, via mail: (a) one coupon that may be redeemed for one free Chick-fil-A chicken biscuit (“Coupon”), (b) one 2008 Chick-fil-A Calendar (“Calendar”) and (c) one Chick-fil-A Bowl-themed re-loadable gift card, which may be pre-loaded with no value ($0.00) or a value of $100.00 (“Gift Card”). Coupons are redeemable at participating Chick-fil-A restaurants during breakfast hours by March 31, 2008. 2,000 Gift Cards will be pre-loaded with a value of $100.00 each. The remaining 148,000 Gift Cards will have a pre-loaded value of $0. Gift Cards pre-loaded with a monetary value are redeemable at participating Chick-fil-A locations. Gift Cards are not accepted at any Chick-fil-A Express of Chick-fil-A Licensed locations such as airports, college campuses, office complexes and hospitals. Click here for a list of Chick-fil-A Restaurants that accept Gift Cards. Eligible registrants who receive a Gift Card can determine the value of a Gift Card received by visiting participating Chick-fil-A locations. Gift Card balances may also be obtained by calling 1-888-232-1864. Each registrant is responsible for paying all costs and expenses related to the Coupon, Calendar and Gift Card that are not specifically mentioned herein as part of the prizes, including but not limited to any applicable taxes, transportation costs or any costs associated with use or redemption of prizes.

6. ODDS OF WINNING: All eligible registrants who submit a timely and valid registration during the Promotion Period will receive a Coupon, Calendar and a Gift Card. The odds of receiving a $100 pre-loaded Gift Card depend on the number of eligible registrations received by Sponsor. If, for example, Sponsor receives 150,000 eligible registrations, the odds of winning a Gift Card pre-loaded with a value of $100.00 are 1:75.

7. AWARD OF PRIZES: Sponsor will send each eligible registrant one Coupon, one Calendar and one Gift Card within approximately six weeks from registration via the mailing address provided during the registration process. Sponsor will use reasonable commercial efforts to distribute a Coupon, Calendar and Gift Card to these eligible registrants. Coupons have no cash value and may not be sold, offered for sale, transferred, photocopied, or duplicated. Certain terms and conditions, located on the back of the Gift Cards, apply to the Gift Cards. No cash redemption or prize substitution by registrants is allowed. Sponsor reserves the right, in its sole and complete discretion, to substitute a Coupon, Calendar or Gift Card with its cash equivalent or with similar items of like value should either or both become unavailable for any reason. In the event that a Coupon, Calendar or Gift Card cannot be awarded for any reason or a registrant is not capable of redeeming same for any reason, Sponsor shall not be obligated to award any prize, and Sponsor reserves the right, in its sole discretion, whether or not to substitute a coupon or prize of comparable or greater value.

8. USE OF REGISTRANT INFORMATION: Absent a specific election by a participant or registrant to the contrary, Sponsor will use information provided by participants and registrants solely for the purpose of mailing Coupons, Calendars and Gift Cards to eligible registrants. Participants and registrants may elect to receive information, offers, and similar correspondence from Sponsor by indicating during the registration process their election to receive such material and information. However, participants and registrants will not receive any information, offers, and similar correspondence from Sponsor unless expressly electing to receive such material.

9. GENERAL RELEASE AND HOLD HARMLESS: By entering this Promotion, each participant or registrant hereby agrees to release, hold harmless, and forever discharge Chick-fil-A, Inc., CFA Properties, Inc., Strottman International, the Promotion Parties, and all of their respective parents, affiliates, subsidiary companies, advertising and promotions agencies, and all of their respective employees, officers, shareholders, directors, and agents (collectively, “Releasees”) from: (i) any and all liability, loss, harm, damage, cost, or expense including, but not limited to, all reasonable counsel fees and court costs incurred, property damage, personal injury and/or death; (ii) anything related to the production, promotion, or execution of this Promotion (or your participation therein); and (iii) anything that may occur in connection with acceptance, redemption and/or use of a Coupon, Calendar and/or Gift Card.

10. GENERAL CONDITIONS: Neither Sponsor nor any other Releasees are responsible for lost, late, incomplete, stolen, misdirected, or illegible entries or transmissions (whether to or from them); problems of any kind whether mechanical, human, or electronic; shipping; or any computer, telephone, satellite, cable, network, electronic, or Internet hardware or software malfunctions, failures, connections, or unavailability; or garbled, corrupt, or jumbled transmissions; service provider/ Internet/ website/use net unaccessibility, unavailability or traffic congestion; any technical error; any unauthorized human intervention; or, the incorrect or inaccurate capture of entry or other information, or failure to capture any such information. Neither Sponsor nor any other Releasees are responsible for any incorrect or inaccurate information, whether caused by web site users, tampering, hacking, or by any of the equipment or programming associated with or utilized in the Promotion, and neither Sponsor nor any other Releasees assume any responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, technical error, theft, destruction, or unauthorized access to the Promotion Website and/or other web sites related to the Promotion. Sponsor reserves the right, in its sole and complete discretion, to disqualify any individual found to be tampering with the registration process or the operation of the Promotion or any website related to the Promotion; to be acting in violation of the Official Rules; or to be acting in a nonsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten, or harass any other person. If for any reason the Promotion is not capable of running or completion as planned, then Sponsor reserves the right, in its sole and complete discretion, to cancel, terminate, modify, or suspend the Promotion. If malfunction, error, disruption, or damage occurs, and it impairs the administration, security, fairness, integrity, or proper operation of the Promotion, Sponsor may, in its sole and complete discretion, suspend or terminate the Promotion or any portion thereof by posting a notice on the Promotion Website. If the Promotion or any portion of the Promotion is terminated before the Promotion Period ends, Sponsor will distribute one Coupon per eligible registrant, one Calendar per eligible registrant and randomly distribute one Gift Card per eligible registrant from all eligible registrations received as of the termination date of the Promotion.

11. LIMITATIONS OF LIABILITY: IN NO EVENT WILL SPONSOR OR ANY OTHER RELEASEE BE RESPONSIBLE OR LIABLE FOR ANY INJURIES, CLAIMS, ACTIONS, DAMAGES, LOSSES, OR LIABILITY OF ANY KIND RESULTING FROM OR ARISING FROM YOUR REGISTRATION OR PARTICIPATION IN, OR THE PRODUCTION, PROMOTION, OR ADMINISTRATION OF, THE PROMOTION, OR ACCEPTANCE, POSSESSION, USE, MISUSE, OR NONUSE OF A PRIZE THAT MAY BE AWARDED, OR YOUR ACCESS TO AND USE OF THE WWW.FREEBREAKFASTNOW.COM SITE, AND/OR THE WWW.CHICK-FIL-A.COM SITE (THE “WEB SITES”) OR THE DOWNLOADING FROM AND/OR PRINTING MATERIAL DOWNLOADED FROM SAID WEB SITES. WITHOUT LIMITING THE FOREGOING, ALL PRIZES ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. SOME JURISDICTIONS MAY NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES OR EXCLUSION OF IMPLIED WARRANTIES, AND IN SUCH EVENT, SOME OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. CHECK YOUR LOCAL LAWS FOR ANY RESTRICTIONS OR LIMITATIONS REGARDING THESE LIMITATIONS OR EXCLUSIONS. CAUTION: ANY ATTEMPT BY A USER OR ANY OTHER INDIVIDUAL TO DELIBERATELY UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION IS A VIOLATION OF CRIMINAL AND CIVIL LAWS, AND SHOULD ANY SUCH ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.

12. NON-WAIVER: The failure or delay by Sponsor or Administrator in enforcing any particular clause, provision or aspect of these Official Rules shall not impact the validity, enforceability or effect of any other clause, provision or aspect of these Official Rules.

13. PROMOTION ADMINISTRATION: The Administrator is the administrator of the Promotion and is responsible for the administration and execution of the Promotion. Sponsor is not responsible for the collection, submission, or processing of entries, conduct, or the overall administration of the Promotion. Entrants should contact Administrator at its above address with any questions, comments, or problems related to the Promotion.

14. MISCELLANEOUS: Each entry is subject to verification by Sponsor and/or Administrator. By participating in the Promotion, each entrant agrees to be bound by these Official Rules and the decisions or interpretations of Sponsor regarding the Official Rules, which are final and binding in all respects. Non-compliance with these Official Rules shall result in disqualification from the Promotion. By participating in the Promotion, each entrant waives any right to claim ambiguity in these Official Rules.

15. PUBLICITY: Except where and as may be prohibited by law, acceptance and use of a prize consisting of a gift card pre-loaded with a $100.00 value constitutes the registrant’s express permission for Sponsor and its designees to use the registrant’s name (or username), photograph, image, likeness, and/or statement in any manner and in any medium for purposes of advertising, marketing, and trade, without additional compensation, authorization or remuneration.

16. VENUE AND APPLICABLE LAW: This Promotion will be administered in the State of Georgia, and by participating, all participants and entrants agree that: (a) the laws of the State of Georgia will apply exclusively to this Promotion, and (b) any dispute with respect to this Promotion will be resolved exclusively in either the federal or state courts located in the State of Georgia.

17. WINNERS LIST: For a list of those who received Gift Cards pre-loaded with a value of $100.00, mail a self-addressed stamped envelope for receipt by 12/31/08 to Chick-fil-A Free Breakfast Now Promotion Winners List, PO Box 563 Henderson, TN 38340. Winners list will be sent once all prizes have been awarded.
